• Use the Service for any illegal purpose or in violation of any local, state, national, or international law
• Violate or encourage others to violate the rights of third parties, including intellectual property rights
• Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or harmful
• Attempt to gain unauthorized access to the Service, other user accounts, or computer systems
• Use automated scripts, bots, or other unauthorized tools to access the Service
• Reverse engineer, decompile, or disassemble any portion of the Service
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
• Share your account credentials with others or allow others to use your account

5. Accounts and Registration

To access certain features of ConvoAI, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Not share your account with others

5.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in fraudulent or illegal activity.

6. Subscriptions and Payments

6.1 Subscription Plans

ConvoAI offers both free and paid subscription plans. Paid subscriptions provide access to premium features, unlimited conversations, and additional learning content.

6.2 Pricing

Subscription fees are charged in advance on a recurring basis (monthly or yearly, depending on your chosen plan). All fees are in USD unless otherwise stated.

6.3 Payment Processing

Payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees.

6.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee.

6.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellations will take effect at the end of your current billing period, and you will retain access to paid features until that time.

6.6 Refund Policy

We offer a 14-day money-back guarantee for first-time subscribers. If you are not satisfied with ConvoAI within the first 14 days of your initial subscription, contact us for a full refund. Refunds are not available for subscription renewals.

7. Intellectual Property Rights

7.1 ConvoAI Content

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of ConvoAI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 User Content

You retain ownership of any content you create, upload, or share through the Service (“User Content”). By submitting User Content, you grant ConvoAI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and display such content solely for the purpose of providing and improving the Service.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

8. AI-Generated Content

ConvoAI uses artificial intelligence to generate conversations, feedback, and learning content. While we strive for accuracy, AI-generated content may occasionally contain errors or inaccuracies. You acknowledge that:

• AI-generated content is for educational and practice purposes only
• ConvoAI does not guarantee the accuracy or completeness of AI-generated content
• You should verify important information from authoritative sources
• ConvoAI is not responsible for decisions made based on AI-generated content

9. Privacy and Data Protection

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ConvoAI does not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVOAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or similar harmful code transmitted through the Service by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service

IN NO EVENT SHALL CONVOAI’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO CONVOAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless ConvoAI, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Tunisia, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If a resolution cannot be reached within 30 days, the dispute may be submitted to binding arbitration or the courts of Tunisia.

14. Third-Party Services

ConvoAI integrates with third-party services, including but not limited to:

• Stripe: For payment processing
• Supabase: For data storage and authentication
• OpenAI: For AI-powered language learning features

Your use of these third-party services is subject to their respective terms and privacy policies. ConvoAI is not responsible for the practices or content of third-party services.

15. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
